Welcome to NOVA7. These Website Terms and Conditions (“Terms”) apply to the NOVA7 website, including https://www.nova7.music, and any related pages, features, services, music, videos, downloads, newsletters, contests, and other content we provide (collectively, the “Services”).

NOVA7 is a California-based family-friendly music company offering upbeat, K-pop-inspired music and positive entertainment for kids, tweens, families, and other listeners. By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

By using the Services, you confirm that:

• You have read and understood these Terms;
• You agree to follow these Terms and all applicable laws; and
• If you are under the age of 18, your parent or legal guardian has reviewed and accepted these Terms on your behalf.

These Terms form a legal agreement between you and Senica Gonzalez, doing business as NOVA7 (“NOVA7,” “we,” “us,” or “our”).

The Services are designed for children, tweens, families, and general audiences.

• Your parent or legal guardian must review these Terms and our Privacy Policy;

• NOVA7 may require verifiable parental consent before collecting, using, or disclosing personal information as required by the Children’s Online Privacy Protection Act (“COPPA”) and other applicable laws.

Parents and legal guardians are responsible for supervising children’s use of the Services and for ensuring that children use the Services safely and appropriately.

You are responsible for protecting any account login information and for all activity conducted through your account. You must notify NOVA7 promptly if you believe your account has been accessed or used without permission.

NOVA7 grants you a limited, personal, nonexclusive, nontransferable, revocable permission to access and enjoy the Services for lawful, personal, and noncommercial use.

• Listen to NOVA7 music for personal, noncommercial enjoyment; and
• Share links to publicly available NOVA7 pages or content, provided that the sharing is accurate, lawful, and does not suggest that NOVA7 sponsors or endorses you.

• Attempt to contact, meet, or obtain personal information from a child;
• Upload malware, viruses, spyware, or other harmful code;
• Interfere with the operation or security of the Services;
• Use the Services to advertise or promote unauthorized products or services;
• Use the Services to send spam or unwanted solicitations;
• Submit false, misleading, or fraudulent information;
• Circumvent age restrictions, parental controls, or consent requirements; or
• Encourage or assist anyone else in violating these Terms.

NOVA7 may remove content, restrict access, or take other appropriate action when we believe that content or conduct may be harmful, unlawful, unsafe, or inconsistent with these Terms.

The Services may allow users to submit comments, messages, ideas, artwork, photographs, videos, music, recordings, stories, suggestions, or other materials (“User Content”).

Do not submit User Content unless you have the right and authority to submit it. If User Content includes a child, another person, music, artwork, or other protected material, you must have all necessary permission from the child’s parent or legal guardian and any other rights holder before submitting it.

If you are under 18, you must obtain permission from your parent or legal guardian before submitting User Content. If you are under 13, your parent or legal guardian must submit the User Content or provide any consent required by applicable law.

You retain ownership of User Content that you legally own. However, by submitting User Content to NOVA7, you grant NOVA7 and its affiliates, licensees, contractors, successors, and designees a worldwide, royalty-free, nonexclusive, transferable, sublicensable, perpetual license to host, store, reproduce, display, perform, distribute, modify, adapt, edit, publish, translate, create derivative works from, and otherwise use the User Content in connection with NOVA7’s business, Services, marketing, promotion, social media, and related activities, in any media now known or later developed.

You understand that:

• NOVA7 may choose whether or not to use User Content;
• NOVA7 may edit or decline to publish User Content;
• NOVA7 is not required to keep User Content confidential;
• NOVA7 is not required to provide payment or credit for User Content; and
• NOVA7 may remove User Content at any time.

You represent and warrant that:

• You own or control all rights necessary to submit the User Content and grant the license above;
• The User Content is accurate to the best of your knowledge;
• The User Content does not violate these Terms or applicable law;
• The User Content does not infringe another person’s rights; and
• You have obtained all required permissions, releases, and parental consents.

NOVA7 does not knowingly seek User Content from children under 13 without legally required parental consent.

NOVA7 may remove or restrict access to allegedly infringing material and may take appropriate action against repeat infringers.

The Services may link to or include content, products, or services provided by third parties, including YouTube, music-streaming services, social media platforms, ticketing services, merchandise providers, and other websites or applications.

Third-party services are governed by their own terms, privacy policies, age requirements, and community rules. NOVA7 does not control and is not responsible for third-party services, including their availability, content, security, privacy practices, or accuracy.

You should review the terms and privacy policies of any third-party service before using it. Parents and legal guardians should review those terms before permitting a child to access a third-party service.

A link to a third-party service does not mean that NOVA7 endorses, sponsors, or guarantees that service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

NOVA7 DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

NOVA7 does not guarantee that:

• The Services will always be available or uninterrupted;
• The Services will be error-free or secure;
• Content will always be accurate, complete, or current;
• The Services will meet your particular needs or expectations;
• Defects will be corrected; or
• The Services will be free from viruses or other harmful elements.

The Services are provided for entertainment and general informational purposes. NOVA7 does not provide medical, psychological, educational, financial, legal, or other professional advice through the Services.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, disclaimers apply only to the maximum extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA7 AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, ARTISTS, AGENTS, CONTRACTORS, LICENSORS, LICENSEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO:

• User Content;
• Third-party websites, platforms, products, or services;
• Unauthorized access to or alteration of information; or

even if NOVA7 has been advised of the possibility of such damages.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA7’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $0 OR THE AMOUNT YOU PAID TO NOVA7 FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot legally be limited or waived, including liability for fraud, intentional misconduct, or rights and remedies that cannot be waived under applicable law.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless NOVA7 and its owners, officers, directors, employees, artists, agents, contractors, licensors, licensees, affiliates, and service providers from and against claims, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your violation of these Terms;
• Your misuse of the Services;
• Your User Content;
• Your violation of another person’s rights; or
• Your violation of applicable law.

If you are a minor, this section applies only to the extent permitted by applicable law and does not impose obligations that cannot legally be imposed on you.

NOVA7 may suspend or terminate your access to all or part of the Services at any time if we believe that:

• You have violated these Terms;
• Your conduct may harm NOVA7, another user, or a child;
• Your use may violate applicable law; or
• Suspension or termination is necessary to protect the Services or our community.

You may stop using the Services at any time.

Sections that by their nature should continue after termination will survive, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

These Terms and your use of the Services are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to the dispute-resolution process below, any lawsuit or court proceeding relating to these Terms or the Services must be brought in the state or federal courts located in Placer County, California, and you and NOVA7 consent to the jurisdiction and venue of those courts.

Nothing in these Terms prevents you from pursuing rights or remedies that cannot legally be waived under California or federal law.

Before filing a claim, you and NOVA7 agree to try in good faith to resolve the dispute informally. To begin this process, send a written notice describing the dispute and the requested resolution to:

NOVA7 will send any response to the contact information provided in the notice. The parties will have 30 days from receipt of the notice to attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, either party may pursue the dispute in a court of competent jurisdiction, subject to applicable law. Nothing in this section limits a party’s right to seek emergency or injunctive relief when appropriate.

If a user is under 18, a parent or legal guardian may bring or respond to a dispute on the user’s behalf to the extent permitted by law.

NOVA7 may update these Terms from time to time. When we make changes, we will post the updated Terms and revise the “Last Updated” date above.

If a change materially affects your rights or obligations, NOVA7 may provide additional notice when required by law. Your continued use of the Services after updated Terms become effective means that you accept the updated Terms.

When you contact NOVA7 electronically or use features that allow electronic communication, you consent to receive communications electronically, including notices, responses, and updates.

Electronic communications satisfy any legal requirement that such communications be in writing, unless applicable law requires otherwise.

NOVA7’s failure to enforce a provision of these Terms is not a waiver of our right to enforce it later.

These Terms, together with the Privacy Policy and any additional terms expressly incorporated into them, contain the entire agreement between you and NOVA7 concerning the Services.
